Gross margin improved 90 basis points to 51.4%, led by Commercial & Industrial, but operating margin before financial services declined 20 basis points year over year to 21.8% as Tools and Repair Systems & Information profitability weakened. First-half cash generation was strong, although working capital fell due largely to the reclassification of $300.0 million of notes due in March 2027.

Sales and EPS increased year over year
Q2 net sales increased $55.7 million, or 4.7% year over year, to $1.2351 billion, including a $35.5 million organic gain, $11.5 million of acquisition-related sales and $8.7 million of favorable currency translation. Diluted EPS rose $0.24 to $4.96 from $4.72.
Gross margin expanded 90 basis points
Gross margin expanded 90 basis points year over year to 51.4%, as gross profit increased $39.7 million to $635.2 million. Management attributed the expansion principally to higher volume and Rapid Continuous Improvement savings.
Commercial & Industrial accelerated
Commercial & Industrial was the principal growth engine: segment net sales increased $48.0 million, or 13.8%, to $395.8 million, while operating earnings climbed $19.6 million, or 41.8%, to $66.5 million.
Cash conversion strengthened
Six-month operating cash flow rose $104.5 million year over year to $640.2 million. Calculated first-half free cash flow was $595.9 million ($640.2 million of operating cash flow less $44.3 million of capex), with capex equal to 1.8% of $2.4423 billion in six-month net sales.
Cash-rich balance sheet supports liquidity
Liquidity remained substantial, with cash increasing $20.2 million from year-end to $1.6447 billion and no borrowings under the $900 million revolving credit facility. Management states cash on hand and credit facilities are sufficient for anticipated needs.
Acquisitions broaden adjacent-market exposure
The company deployed $159.1 million of net cash for acquisitions in the first half, including Diesel Laptops for $99.1 million net of cash and Hi-Force for $54.9 million net of cash, expanding its heavy-duty diagnostics and industrial-tool capabilities.

Tools margin contracted despite growth
Tools profitability weakened despite sales growth: Q2 segment operating earnings fell $1.6 million to $115.1 million and operating margin contracted 120 basis points to 22.6%, driven by a 30-basis-point gross-margin decline and a 90-basis-point increase in operating expenses as a percentage of sales.
RS&I earnings declined and organic growth slowed
Repair Systems & Information operating earnings declined $4.7 million to $115.1 million, with operating margin down 160 basis points to 24.0%. Management cited higher lower-margin product sales, increased personnel and other costs, and expanded technology investments; organic growth was only $3.2 million, or 0.7%.
Financing activity and receivables warrant attention
Financial Services revenue decreased $2.0 million, or 2.0%, to $99.7 million, while originations fell $12.0 million, or 4.1%, to $281.0 million, reflecting a lower average portfolio. Trade receivables also rose $60.8 million to $942.2 million and days sales outstanding increased to 70 days from 67 days at year-end.
2027 debt maturity reduces working capital
Working capital decreased $278.5 million from year-end to $3.2058 billion, primarily as current debt increased to $317.0 million from $16.2 million. The increase reflects $300.0 million of 3.25% notes due March 1, 2027, which management intends to repay with available cash.
No material risk-factor update disclosed
No separate new risk-factor update was presented in this 10-Q; management said there was no significant change in market-risk exposure. Still, its Value-at-Risk model estimates a $6.9 million maximum one-day fair-value loss at a 95% confidence level, including $6.5 million from interest-rate-sensitive instruments.
