Shore Bancshares delivered strong Q2 profitability, with diluted EPS of $0.56 versus $0.51 in Q1 2026 and $0.46 in Q2 2025, supported by a $5.756 million year-over-year increase in net interest income and a 3.70% net interest margin. Efficiency and capital ratios improved, but the credit profile is the principal offset: nonperforming assets reached $67.200 million and classified assets reached $86.647 million. Deposits and cash declined from year-end, although management reported $1.905 billion of available liquidity and the bank remained well-capitalized.

EPS and net income accelerated
Q2 net income rose to $18.865 million, up $1.795 million sequentially from $17.070 million and up $3.358 million, or 21.7%, from $15.507 million a year earlier. Diluted EPS increased to $0.56 from $0.51 in Q1 2026 and $0.46 in Q2 2025.
NII and margin expanded
Net interest income was $52.919 million, increasing $364 thousand sequentially and $5.756 million, or 12.2%, year over year. Net interest margin expanded to 3.70%, from 3.64% in Q1 2026 and 3.34% in Q2 2025, as interest expense declined $4.839 million year over year.
Efficiency ratio improved sharply
Operating efficiency improved: the GAAP efficiency ratio declined to 57.76% from 61.97% in Q1 2026 and 60.83% in Q2 2025; the adjusted ratio declined to 54.49% from 58.57% and 56.73%, respectively.
Lower charge-offs reduced provisioning
Credit-loss provisioning decreased to $896 thousand from $1.528 million in Q2 2025, while quarterly net charge-offs fell to $123 thousand from $649 thousand. The annualized net-charge-off ratio was 0.01%, versus 0.05% a year earlier.
Capital and shareholder returns increased
Capital strengthened, with stockholders' equity increasing $26.202 million, or 4.4%, from year-end to $616.075 million. The company also authorized a $30.0 million repurchase program and repurchased 40,093 shares for $891 thousand during Q2.
Available liquidity remains sizable
Liquidity remained substantial at $1.905 billion available at June 30, including $257.670 million of cash and cash equivalents, $911.883 million of FHLB capacity and $396.081 million of unsecured federal-funds lines.

Nonperforming CRE exposures increased
Asset quality weakened materially despite lower charge-offs: nonperforming assets rose to $67.200 million, or 1.09% of total assets, from $43.207 million, or 0.69%, at December 31, 2025. Three large nonperforming loans accounted for $44.4 million and are primarily multifamily and office CRE exposures in North Carolina and Virginia.
Classified assets and CRE concentration rose
Classified assets increased $26.289 million to $86.647 million, equal to 1.41% of assets, from $60.358 million, or 0.96%, at year-end. The CRE concentration remains elevated: non-owner-occupied CRE loans were $1.871 billion, equal to 326.63% of Tier 1 capital plus ACL.
Deposit runoff and uninsured deposits increased
Deposit runoff reduced on-balance-sheet liquidity: total deposits declined $134.114 million, or 2.4%, to $5.400 billion and cash and cash equivalents fell $97.9 million to $257.7 million from year-end, primarily reflecting seasonal municipal-deposit runoff. Estimated uninsured deposits increased to $975.6 million, or 18.1% of deposits, from $937.2 million, or 16.9%.
Fee-income decline and expense growth
Fee revenue remains under pressure: Q2 noninterest income declined $576 thousand, or 6.1%, to $8.830 million, primarily due to an $825 thousand decrease in mortgage-banking revenue. Noninterest expense increased $1.258 million, or 3.7%, to $35.668 million.
No formal risk-factor update; rate risk persists
The filing states there were no material changes to risk factors disclosed in the 2025 Annual Report. Interest-rate sensitivity remains relevant: a modeled +400-basis-point parallel shock would reduce 12-month net interest income by 9.8% at June 30, 2026.
