Rockwell delivered a strong fiscal Q3, with sales of $2.313 billion (+8% reported, +10% organic), diluted EPS of $3.65 (+40%), and enterprise operating margin of 22.3% (+280 basis points). Growth was led by Software & Control and Intelligent Devices, while Lifecycle Services declined following divestitures and a 2% organic contraction. Nine-month cash conversion improved, although management flagged accelerating input-cost inflation, tariff-related uncertainty, and a higher commercial-paper balance.

Sales growth accelerated to 8%
Q3 sales reached $2.313 billion, up 8% year over year from $2.144 billion; organic sales increased 10%. Revenue also increased from $2.240 billion in fiscal Q2 2026.
EPS surged 40% year over year
Diluted EPS increased 40% to $3.65 from $2.60 a year earlier, while net income attributable to Rockwell rose to $408 million from $295 million. EPS also rose from $3.10 in fiscal Q2 2026.
Operating leverage drove margin expansion
Enterprise operating margin expanded 280 basis points to 22.3% from 19.5%, driven by higher volume, favorable mix, and the Sensia dissolution margin benefit. Pre-tax margin rose to 20.3% from 16.0%.
Software & Control led growth
Software & Control was the strongest segment, with sales up 19% to $751 million and segment operating earnings up 31% to $261 million. Its operating margin increased 320 basis points to 34.8%.
Cash generation improved despite higher capex
Nine-month operating cash flow increased to $1.278 billion from $1.090 billion, and free cash flow increased to $1.099 billion from $953 million. Capital expenditures were $179 million, or approximately 2.7% of nine-month sales of $6.657 billion.
North American demand remained supportive
North America sales grew 9% to $1.482 billion, with 12% organic growth. U.S. manufacturing PMI reached 53.3 in June 2026, its highest level in four years according to management.

Lifecycle Services revenue contracted
Lifecycle Services sales declined 12% to $482 million, including a 2% organic decline; divestitures reduced reported segment sales by 11%. Sales declined in North America and EMEA during the quarter.
Input-cost inflation remains a margin headwind
Management expects continued inflation pressure in memory-related components, commodities, energy, and freight. U.S. producer-price inflation accelerated to 5.5% as of June 2026, and input costs exceeded price realization in Q3.
Higher short-term debt balance
Short-term commercial-paper borrowings increased to $684 million at a 3.89% weighted-average rate, from $522 million at a 4.24% rate at September 30, 2025. The company has a $1.5 billion revolving facility, but commercial-paper access remains sensitive to credit and market conditions.
Tariff-refund timing and recognition uncertain
No new Q3 risk-factor changes were identified: the filing states that, as of June 30, 2026, there was no material change from the September 30, 2025 10-K except updates in the May 5, 2026 10-Q. Tariff refunds remain uncertain, with no asset recognized as of June 30, 2026.
