RGP's FY2026 filing shows a business still in a steep demand downturn: revenue fell 18.0% to $452.006 million, led by a 27.1% Consulting decline and an 18.1% On-Demand Talent decline. Management is repositioning around integrated, higher-value CFO services, digital transformation and AI capabilities while targeting $12.0 million to $14.0 million in annual SG&A savings. However, cash generation weakened to $1.427 million of operating cash flow, the company replaced a facility after covenant noncompliance, and a newly disclosed IT-control material weakness adds execution risk.

- Revenue contraction continues; GAAP loss narrows
- FY2026 revenue declined 18.0% to $452.006 million from $551.331 million, following a 12.9% decline from $632.801 million in FY2024. Gross margin was comparatively stable at 37.5% versus 37.6% in FY2025, but operating margin fell to negative 8.5% from negative 35.7% after FY2025's $194.409 million goodwill impairment.
- Operating cash flow fell to $1.4M
- Cash conversion weakened materially: operating cash flow declined to $1.427 million in FY2026 from $18.899 million in FY2025 and $21.919 million in FY2024. Less $0.808 million of property, equipment and internal-use software investment, a calculated FCF proxy was about $0.619 million, versus $16.188 million and $20.776 million.
- Integrated CFO-services and AI roadmap
- RGP's strategy is to cross-sell On-Demand Talent, Consulting and Outsourced Services around CFO and C-suite clients, while scaling higher-value consulting in ERP/cloud finance, M&A integration, data analytics, AI adoption and digital transformation. It integrated Reference Point into a single consulting unit and is refreshing consultant skills for technology and AI fluency.
- Consulting was the largest growth drag
- All principal operating segments declined in FY2026: Consulting fell 27.1% to $159.796 million, On-Demand Talent fell 18.1% to $168.796 million, Europe & Asia Pacific fell 3.2% to $75.139 million, and Outsourced Services declined 1.0% to $39.206 million. Consulting billable hours fell 31.0%, although its average bill rate rose 5.7%.
- Cost reset targets $12M-$14M of annual SG&A
- The 2026 Transformation Initiative included October 2025 and January 2026 workforce reductions and is expected to improve annual SG&A by $12.0 million to $14.0 million. FY2026 restructuring costs were $8.446 million, including $6.433 million of severance and benefits, and management/administrative headcount declined to 591 from 662.
- Dividend cut and buybacks paused
- Capital allocation shifted toward liquidity preservation: FY2026 dividends totaled $9.395 million, or $0.28 per share, versus $18.646 million/$0.49 in FY2025 and $18.825 million/$0.56 in FY2024; no programmatic shares were repurchased in FY2026 after $12.999 million in FY2025. RGP sold Sitrick for $1.885 million in proceeds and retains $79.2 million of buyback authorization.

- New material weakness in IT financial controls
- Management and Ernst & Young identified a FY2026 material weakness in IT general controls: user/privileged access was not adequately restricted and program-change controls were not designed and operating effectively. Disclosure controls and ICFR were ineffective as of May 30, 2026; remediation is expected as early as FY2027.
- Covenant breach preceded smaller credit facility
- RGP was not compliant with all financial covenants in its former 2025 credit facility at May 30, 2026, although it had no borrowings and $0.7 million of letters of credit outstanding. It replaced that facility on July 15 with a secured revolver capped at the lesser of $30.0 million and a receivables-based borrowing base, with minimum-liquidity and, in some conditions, fixed-charge-coverage requirements.
- AI adoption pressures core staffing demand
- AI and automation are reducing demand in core roles: On-Demand Talent billable hours declined 19.8% in FY2026 as clients adopted AI and automation in traditional accounting and finance work. The filing also warns that agentic AI could enable clients to meet professional staffing needs without RGP consultants, creating further pricing and volume risk.
