Aftermarket revenue increased $1.0 million year over year to $8.9 million, while six-month Aftermarket gross profit increased $1.2 million to $6.4 million, principally reflecting the December 2025 Carly Railcar Components acquisition.
Orders and backlog increased sharply
Six-month net railcar orders increased to 3,550 units from 2,476 units, lifting backlog to 3,972 units with estimated sales value of $344 million, versus 1,926 units and $137 million at December 31, 2025.
Positive first-half free cash flow
The company generated $7.8 million of operating cash flow in the first six months and spent $0.9 million on capital expenditures, implying approximately $6.9 million of free cash flow.
Working capital released cash
Inventory decreased $10.3 million during the first six months as December 2025 inventory was used in railcars delivered in the period; accounts and contractual payables increased $8.3 million.

Manufacturing mix pressured profitability
Manufacturing revenue declined $6.5 million to $104.3 million and Manufacturing gross margin fell to 3.2% from 13.4%. Management attributes both declines to unfavorable product mix in cars delivered.
Warrant accounting drives earnings volatility
GAAP results were highly volatile: the quarter included a $24.9 million warrant-liability fair-value loss, while the first six months included a $24.2 million fair-value gain. The liability is remeasured based on stock-price and implied-warrant-share fluctuations.
Cash generation declined amid costly debt
Operating cash flow declined to $7.8 million for the first six months from $21.3 million a year earlier. Liquidity also depends on covenant compliance, and the $115.0 million term loan carried a 9.7% interest rate at June 30, 2026.
Net warrant exercise increased share count
The warrant holder's net exercise issued 13,619,377 common shares during the quarter without cash proceeds to the company, creating substantial dilution risk for existing shareholders.
