QuantumScape remains a pre-revenue, single-segment battery-technology developer, with Q2 revenue of $0 and a $0.16 per-share loss. Year-over-year losses and six-month cash burn improved, but liquidity fell to $859.0 million as the company continued funding pilot-line development. The core catalyst is the revised PowerCo milestone program, which can provide up to $75.4 million over two years, while the principal risk remains execution of technical, scale-up and customer-validation milestones needed to reach commercialization.

- Q2 net loss narrowed 14% year over year to $98.2 million from $114.7 million, while loss from operations improved 14% to $106.1 million from $123.6 million. Diluted EPS was a $0.16 loss, improved from a $0.20 loss in Q2 2025 and unchanged from Q1 2026's $0.16 loss.
- Cash burn modestly improved
- Six-month operating cash use improved to $116.3 million from $122.6 million in the prior-year period. Calculated six-month free cash flow was negative $130.9 million, including $14.6 million of property-and-equipment purchases, versus approximately negative $136.7 million a year earlier.
- Liquidity supports at least 12 months
- Liquidity remained substantial at $859.0 million in cash, cash equivalents and marketable securities at June 30, 2026. Management states this balance is sufficient to fund working-capital and capital-expenditure requirements for at least 12 months from the filing date.
- R&D expense declined on lower impairments
- R&D expense declined 18% year over year to $82.5 million, principally reflecting a $13.6 million lower impairment loss and $5.6 million lower depreciation and amortization; these were partly offset by a $1.3 million rise in materials costs.
- PowerCo funding structure reset to milestones
- The July 2026 PowerCo amendment shifts the program to milestone-based payments tied to battery-cell delivery and validation over the next two years. QuantumScape may receive up to $75.4 million in aggregate under the program, including amounts already paid.
- No revenue, but potential licensing payment
- The company has only one operating segment and generated no revenue. The potential PowerCo IP license would include a $130.0 million prepaid initial royalty, but only upon completion of specified milestones and execution of the license agreement.

- Cash, cash equivalents and marketable securities declined by $111.8 million from $970.8 million at December 31, 2025 to $859.0 million at June 30, 2026. Six-month operating cash use was $116.3 million and calculated free cash flow was negative $130.9 million.
- PowerCo milestone and concentration risk
- The updated PowerCo program has a maximum aggregate payment of $75.4 million and requires achievement of cell delivery and validation milestones over the next two years. Failure to reach collaboration milestones could also prevent the contemplated $130.0 million initial royalty under the PowerCo IP License Agreement.
- Tariffs could disrupt inputs and raise costs
- The filing flags new trade-policy uncertainty: the United States imposed additional tariffs on all imports, subject to limited exceptions, for a 150-day period beginning in February 2026. Further tariffs or retaliation could raise equipment, materials and logistics costs or constrain supply.
- Scale-up and product-qualification uncertainty
- Pilot-line scale-up remains unproven: QSE-5 targets approximately 5 amp-hours, while tested cell areas are approximately 60x75 mm to 70x85 mm. Management cautions that pilot-scale achievements do not assure commercial-scale production, cost targets, qualification or market adoption.

The separate Q2 earnings release maintained FY2026 adjusted EBITDA-loss guidance of $250 million-$275 million and reduced capex guidance to $27 million-$37 million, but those figures are not stated in this 10-Q.
