PURR completed a major strategic transition from the legacy Sonnet structure to a HYPE-focused treasury company, ending fiscal 2026 with $1.904 billion of HYPE, $137.9 million of cash and $1.9 billion of stockholders’ equity. Reported net income of $305.5 million and diluted EPS of $3.21 were driven primarily by a $709.9 million unrealized HYPE gain, while recurring operating revenue remained limited at $9.46 million and the company has only inception-period comparative results. The strategy offers exposure to staking and validator economics, but concentrated HYPE and custody exposure, substantial dilution capacity, regulatory uncertainty and potential cash tax obligations create a highly volatile outlook.

- The company has repositioned as a digital asset treasury company focused on HYPE. It held 29,275,085 HYPE tokens with a fair value of $1.904 billion at June 30, 2026, and intends to generate additional income through staking, validator operations and selective DeFi activity.
- Staking platform began producing revenue
- Revenue totaled $9.46 million for fiscal 2026, including $9.41 million of staking income. The company launched its own Hyperliquid validator on May 13, 2026, creating a potential additional commission-income stream from third-party delegations.
- Marked-to-market earnings inflection
- Reported net income was $305.5 million and diluted EPS was $3.21, driven substantially by a $709.9 million unrealized gain on HYPE digital assets. This represents a sharp inflection from the $0.6 million net loss recorded during the June 2025 inception period, although the comparison is not a full prior fiscal year.
- Capitalized balance sheet

- The company raised $646.6 million of gross proceeds through the Equity Facility by issuing 76,063,600 shares, while also purchasing 16,537,519 HYPE tokens for approximately $773.4 million during the year. It additionally purchased $307.3 million of USDC and converted $295.2 million of USDC into HYPE.
- Buybacks continued alongside issuance
- Capital allocation included a $30 million share-repurchase authorization, of which 3,067,097 shares were repurchased for approximately $10.5 million through June 30, 2026. Subsequent to year-end, the company repurchased approximately 2.7 million shares for $17.3 million and raised $117.1 million through approximately 10.7 million Equity Facility shares.

- Extreme HYPE price and earnings volatility
- HYPE price exposure is substantial: the company held 29,275,085 tokens worth $1.904 billion at June 30, 2026, while HYPE traded between $10.26 and $82.28 from December 4, 2024 through August 23, 2026. A decline in HYPE would reduce treasury value and could produce significant earnings volatility because fair-value changes are recognized in net income.
- Concentrated custody and key-loss risk
- Substantially all HYPE tokens were held with a single custodian, Anchorage, leaving access dependent on that custodian’s ability to safeguard private keys and comply with contractual requirements. The exposure covered $1.904 billion of HYPE assets at June 30, 2026, and insurance may cover none or only a small fraction of total holdings.
- DPRK cyberattack and OFAC exposure
- The filing adds specific state-sponsored cyberattack and sanctions exposure: approximately $1.5 billion of ether was attributed to DPRK-affiliated hackers in the February 2025 Bybit theft, and HYPE acquired through anonymous on-chain liquidity cannot be subject to ultimate-counterparty diligence. A sanctioned or compromised transaction could result in OFAC penalties, asset blocking or loss of banking and custody relationships.
- Consensus and governance concentration
- The Hyperliquid consensus design has explicit attack thresholds: validators controlling more than one-third of staked HYPE could halt transaction processing, while control of more than two-thirds could theoretically permit conflicting blocks or reversal of transactions. In addition, approximately 238 million HYPE tokens, or 23.8% of current supply, began vesting for core contributors in November 2025, potentially increasing governance and validator concentration.
- Large dilution overhang
- The company faces material future dilution from 28,658,614 outstanding warrants at June 30, 2026, including 27,394,800 Advisor Warrants exercisable at $9.375, $12.50 and $18.75. The Equity Facility also permits up to $1.0 billion of share purchases, and 76,063,600 shares had already been issued under it by year-end.
- Potential cash tax burden
- The company recorded $183.5 million of deferred income-tax expense in fiscal 2026, primarily from the difference between HYPE fair value and tax basis, despite making no cash tax payments during the year. Management also states that future CAMT or staking-tax obligations could require cash payment or the sale of HYPE before favorable market conditions exist.
