Loan-sale gains improved
Net gains on loans held for sale increased to $280.319 million from $234.659 million. Management attributed the $45.660 million increase to larger mortgage-market volumes and greater broker-direct and consumer-direct share.
Servicing franchise continued to expand
Owned servicing UPB grew to $495.755 billion at June 30, 2026 from $470.966 billion at December 31, 2025, while mortgage servicing rights increased to $10.587 billion from $9.599 billion.
Liquidity improved and leverage eased
Cash and short-term investments increased $36.904 million to $748.621 million, while total debt declined $253.532 million to $15.395 billion and debt-to-equity improved to 3.5x from 3.6x.
Operating cash flow remained positive
Six-month operating cash flow remained substantial at $801.097 million, although it was below $934.642 million in the prior-year period. Free cash flow is not reported because the filing does not disclose a conventional capital-expenditure measure.

Earnings and margin contracted materially
Profitability deteriorated sharply: income before taxes fell to $31.525 million from $76.442 million, diluted EPS fell to $0.41 from $2.54, and the implied pretax margin fell to 6.3% from 17.2%. Sequentially, revenue declined from approximately $540 million in Q1 2026 to $496.965 million.
MSR valuation and hedge costs pressured servicing
Servicing segment income before taxes declined $32.426 million to $21.726 million. Net servicing fees fell to $145.821 million despite servicing fees rising to $515.293 million, as MSR/MSL valuation changes and hedging results totaled a $390.088 million offset.
Rate, prepayment and funding risks remain high
Interest-rate and prepayment exposure remains material: a 20% increase in assumed prepayment speed would reduce MSR fair value by $474.686 million, and short-term debt remained $9.132 billion at June 30, 2026. Item 1A states there were no material changes to previously disclosed risk factors.
