Targeted Lending contributed $3.2 million of revenue and $1.2 million of earnings during the period from April 24, 2026 to June 30, 2026, adding a nationwide equipment-finance platform.
Operating cash generation improved
Operating cash flow improved to $14.490 million for the six months ended June 30, 2026 from $1.537 million in the prior-year period, while purchases of premises and equipment were $1.053 million.
Credit metrics improved
Nonperforming assets declined to $9.402 million, or 0.40% of total assets, from $11.250 million, or 0.52%, at December 31, 2025; classified loans declined to $15.522 million from $26.987 million.

Expense and litigation pressure cut earnings
Net income fell 46.0% year over year to $3.484 million from $6.451 million, and diluted EPS declined to $0.14 from $0.26. Noninterest expense increased 50.6% to $22.182 million, including $2.9 million of litigation-related expense.
Material unresolved legal exposure
For matters where a loss is reasonably possible and estimable, the Company reported a potential loss range of $0 to $18.1 million in excess of accrued liabilities as of June 30, 2026; the Southwestern and NatPay matters seek at least $39.0 million and $11.4 million, respectively.
Reliance on higher-cost deposit funding
Funding costs and liquidity remain sensitive to deposit mix: brokered deposits increased by $174.5 million to $284.7 million, while certificates of deposit due within one year totaled $465.1 million. The Company may need to pay higher rates or use FHLBNY advances if deposits do not remain.
Allowance remains economically sensitive
Credit-loss sensitivity increased with loan growth and acquisition activity. Management estimated that a 100-basis-point increase in projected unemployment together with a 100-basis-point decrease in projected GDP growth would raise the loan allowance by $1.7 million, or 6.1%.
Acquisition integration and valuation risk
The acquisition increased goodwill to $26.561 million from $9.599 million and other intangible assets to $12.257 million from $2.711 million; purchase accounting remains incomplete and the goodwill allocation may be updated during the measurement period.
