Our reading of the filing · Free to read, no account needed
PAVmed's Q2 revenue improved to $33,000, up 50.0% sequentially and 450.0% year over year, while diluted EPS improved to $(0.87). However, the company remains deeply unprofitable, with a $7.022 million quarterly operating loss and $5.283 million of operating cash usage in the first six months. Liquidity remains highly dependent on financing: cash was $3.784 million at quarter-end, the company disclosed substantial doubt about continuing as a going concern, and it must fund a $5.0 million blocked account by August 25, 2026 to preserve its amended cash covenant.
The parts that mattered.
Pulled out of the filing itself, with the figures the company reported.
- Revenue improved sequentially and year over year
- Q2 revenue increased to $33,000 from $22,000 in Q1 2026, a 50.0% sequential increase, and from $6,000 in Q2 2025, a 450.0% year-over-year increase. Revenue remains less than $0.1 million.
- EPS loss narrowed materially
- Diluted EPS improved to $(0.87) from $(4.42) in Q1 2026 and $(22.08) in Q2 2025. The improvement was aided by a substantially larger common-share base, with diluted weighted-average shares increasing to 6,269,384 from 602,822 year over year.
- Investment increased in Veris development
- Operating loss was $7.022 million versus $4.715 million in Q2 2025, while total operating expenses increased to $7.055 million from $4.721 million. General and administrative expense rose to $4.651 million from $3.670 million, and research and development expense rose to $2.067 million from $0.776 million.
- Financing lifted the cash balance
- Cash increased to $3.784 million from $1.538 million at December 31, 2025, supported by $7.564 million of financing cash inflows. The company also reported positive working capital of approximately $0.8 million at June 30, 2026.
- Lucid management fees provided support
- Management fee income from Lucid remained stable at $3.150 million in Q2 and $6.300 million for the first six months. Lucid's Q2 revenue was $1.474 million, and Lucid's fair-value investment remained substantial at $33.494 million.
- Capital spending remained limited
- Operating cash flow improved to a use of $5.283 million for the first six months from a use of $2.759 million in the prior-year period, while capital expenditures were only $35,000. Derived free cash flow was approximately negative $5.318 million.
And the other side of it.
The offsets in the same document — the things a summary that only listed the good news would have left out.
- Going-concern uncertainty persists
- The company states that substantial doubt exists about its ability to continue as a going concern. For the six months ended June 30, 2026, it reported a $12.467 million net loss attributable to common stockholders and $5.283 million of operating cash usage.
- High-cost secured debt remains
- The 2026 Note carries $15.000 million of face-value principal, a 15.0% interest rate, and a $15.100 million fair value. It is secured by the assets of PAVmed and its subsidiaries other than Lucid, increasing refinancing and collateral risk.
- Near-term cash covenant pressure
- The amended minimum-cash covenant requires at least $2.5 million at each measurement date, rising to $8.0 million on or after September 15, 2026. The amendment is null and void unless the company deposits $5.0 million into a blocked account by August 25, 2026; June 30 cash was only $3.784 million.
- Post-quarter equity issuance diluted holders
- After quarter-end, PAVmed sold 675,679 shares through its ATM facility for approximately $2.8 million of net proceeds and fully exhausted the $2.88 million facility capacity. The financing provides liquidity but adds material dilution risk.
- R&D spending far exceeds revenue
- The company incurred $2.067 million of Q2 research and development expense, up from $0.776 million, primarily for Veris's implantable physiological monitor, while consolidated revenue was only $33,000. Commercialization may therefore require additional funding before generating meaningful revenue.
- Lucid losses and valuation volatility
- Lucid's Q2 net loss attributable to common stockholders was $14.715 million and PAVmed recognized a $2.504 million unrealized loss on its Lucid investment. PAVmed's investment value was also sensitive to Lucid's share price, which declined from $1.15 at March 31, 2026 to $1.07 at June 30, 2026.
