Nevertheless, fiscal 2026 showed a pronounced deterioration: revenue fell 36%, gross margin became negative $5.921 million, net loss reached $48.9 million and operating cash use was $20.8 million. The going-concern warning, material weaknesses in financial controls, costly convertible debt and substantial prospective dilution outweigh the strategic and backlog positives. No formal numeric company guidance is provided in the 10-K.

- OPT positions itself as a maritime-domain-awareness platform company offering DaaS, RaaS and PaaS through PowerBuoy, WAM-V and Merrows systems. Its stated priorities are geographic expansion, technology adoption, recurring revenue and margin growth through platform scalability and supply-chain efficiencies.
- Backlog expanded 61% year over year
- Backlog increased to $20.1 million at April 30, 2026 from $12.5 million a year earlier, although the filing cautions that backlog may be adjusted, delayed or canceled and is not necessarily predictive of revenue.
- International expansion drove mix shift
- International mix increased materially: EMEA represented 48% of revenue versus 32% in fiscal 2025, while Asia/Australia rose to 19% from 2%. Revenue from customers outside the U.S. accounted for 67% of fiscal 2026 revenue versus 60% in fiscal 2025.
- Services and leases gained traction
- Lease revenue increased to $0.639 million from $0.453 million, while services revenue increased to $1.982 million from $0.718 million. However, total revenue declined to $3.737 million from $5.861 million, primarily because of delivery timing for WAM-V projects.
- Investment increased in lease fleet
- The company invested $4.008 million in property and equipment versus $0.505 million in fiscal 2025, including growth in leased buoy assets from $0.949 million to $5.662 million and leased WAM-V assets from $1.735 million to $1.807 million.
- Liquidity supported by external financing
- OPT raised $26.787 million through financing activities, including $26.5 million of convertible-note proceeds and $7.592 million of ATM proceeds. The June 2026 offering subsequently generated $7.1 million of net proceeds through the issuance of 25 million shares and warrants for up to 25 million additional shares.

- The filing identifies an onerous $1.4 million contract on which $0.5 million of revenue had been recognized against $3.6 million of costs incurred; estimated future costs were another $5.6 million over the following 24 months.
