Malibu Boats delivered strong reported revenue growth in fiscal 2026, driven primarily by the Saxdor acquisition, favorable product mix and pricing, but underlying profitability weakened as gross margin fell to 16.0% and net income attributable to Malibu declined to $1.7 million. The strategy remains centered on premium brands, innovation, vertical integration and a broad dealer network, with Saxdor adding meaningful international reach and product breadth. Near-term conditions remain challenging because management expects soft retail demand, elevated incentives and new tariff costs, although operating cash flow improved to $67.5 million and the company retains buyback and refinancing capacity.

Leading brands and broad dealer moat
Management describes Malibu, Axis, Saltwater Fishing brands and Cobalt as among the market leaders in their respective U.S. categories. The company also cites a dealer network of over 345 global locations as a distinct competitive advantage and continues investing in proprietary features, new models and vertical integration.
Saxdor expands global product reach
Saxdor expanded the portfolio into premium adventure dayboats, including boats over 40 feet, and increased the company’s international footprint to 68 countries. Saxdor contributed $84.3 million of fiscal 2026 revenue and 246 units after its March 2, 2026 acquisition.
Acquisition and mix lifted revenue
Fiscal 2026 net sales increased 13.3% to $914.6 million, primarily from $84.3 million of Saxdor revenue, favorable model mix and price increases. Existing-segment unit volumes declined, but consolidated net sales per unit increased 12.2% to $184,990.
Revenue growth came with margin pressure
Operating performance remains positive but weakened: gross margin fell from 17.8% in fiscal 2025 to 16.0% in fiscal 2026, while operating margin declined from 2.7% to 0.3%. Net income attributable to Malibu Boats fell from $14.9 million, or $0.76 per diluted share, to $1.7 million, or $0.09 per diluted share.
Operating cash flow strengthened
Cash generation improved despite lower earnings: operating cash flow rose from $55.6 million in fiscal 2024 to $56.5 million in fiscal 2025 and $67.5 million in fiscal 2026. Capital expenditures were $24.7 million in fiscal 2026, focused on new models, capacity enhancements and vertical integration.
Buybacks and refinancing support flexibility
The company repurchased 1,243,996 shares for $33.9 million in fiscal 2026 and authorized a new repurchase program of up to $70.0 million for fiscal 2027. It also refinanced subsequent to year-end with a $250.0 million revolver and $100.0 million term loan maturing in 2031.

New tariff exposure could compress margins
The company expects fiscal 2027 tariff costs of approximately 1.5% to 3.0% of cost of sales, while 18% to 20% of cost of sales for U.S.-located brands is sourced outside the United States. Management expects recent price increases to largely offset the added costs, but tariff rates and countermeasures remain uncertain.
Saxdor integration and earnout risk
Saxdor represented 28.0% of consolidated total assets and 9.2% of fiscal 2026 revenue, yet its internal controls were excluded from the company’s annual control assessment because it was acquired on March 2, 2026. The acquisition also carries potential earnout payments of up to $84.2 million, with a $28.2 million liability recorded at June 30, 2026.
Soft demand and dealer concentration
Management expects retail demand to remain soft in fiscal 2027, with elevated promotional activity, dealer incentives and floor-plan interest support. Customer concentration also increased materially: the top ten dealers represented 62.4% of fiscal 2026 net sales versus 42.8% in fiscal 2025, while OneWater-related dealers represented 22.3%.
Higher leverage increases rate sensitivity
Debt and interest-rate exposure increased after the Saxdor acquisition. At June 30, 2026, revolving debt was $165.0 million at a 4.92% weighted-average rate; the filing estimates that a 100-basis-point rate increase would raise annual interest expense by approximately $1.7 million.
Warranty estimates remain earnings-sensitive
The product warranty liability was $41.2 million at June 30, 2026, with warranty expense of $29.8 million during the year. Management states that a hypothetical 10% change in the warranty estimate would have affected fiscal 2026 net income by approximately $4.1 million.
