The pending Fortitude merger and need for external financing dominate the outlook; the transaction would leave legacy shareholders with an expected approximately 5.0% ownership interest.

- First commercial SaaS customers signed
- The company signed two commercial agreements for MyoVista Insights in May 2026, its first mainstream SaaS revenue-generating deployments. Revenue remains immaterial at $4,319 in FY2026, so commercial conversion—not product availability—is the next key proof point.
- R&D spending declined after platform launch
- R&D expense fell $1.5 million, or 35%, to $2.8 million in FY2026 as phase 1 of MyoVista Insights was completed and launched; approximately $0.7 million of platform software costs were capitalized. This reduced development spend did not yet translate into revenue growth.

- The product roadmap remains bifurcated: the MyoVista wavECG 510(k) was submitted in December 2025 and remains under FDA review, while the impaired cardiac-relaxation algorithm was separated for additional development and validation after revised ASE guidance.
- Fortitude merger would transform ownership
- The proposed Fortitude Mining merger could remake the company: post-close, Fortitude equity holders are expected to hold approximately 95.0% of HeartSciences' outstanding equity interests, while legacy HeartSciences holders would own approximately 5.0%.

- Nasdaq compliance risk has materially re-emerged: April 30, 2026 stockholders' equity of approximately $0.2 million was below Nasdaq's $2.5 million minimum, and the company expects a further deficiency notification. A May 2024 1-for-100 reverse split was required to cure an earlier bid-price issue.
