Preferred stock exchanged for $7.8M debt
In May 2026, FOXO issued senior unsecured non-convertible promissory notes with aggregate principal of approximately $7.8 million in exchange for 7,775 shares of Series A Preferred Stock, eliminating those preferred shares but increasing debt obligations.
Potential expansion into 4 collection centers
FOXO entered an agreement to acquire assets associated with 4 U.S. blood collection centers for $3.5 million in cash at closing, plus a contingent earn-out of up to $1.0 million, subject to licensing, certification, permitting and financing conditions.
Epigenetics IP monetization agreement
The May 2026 Strategic Technology License Agreement grants LongevityFP an exclusive worldwide license to FOXO’s epigenetics intellectual property for a royalty of 3% of net revenues, capped at $1.3 million.

Debt defaults and going-concern risk
The company states that total debt has increased substantially, many promissory notes are in default, and the approximately $7.8 million senior notes mature on the earlier of May 12, 2027 or an event of default. Cash, working-capital deficits, operating losses and financing dependence raise substantial doubt about going-concern status.
Acquisition requires unavailable capital
The proposed blood-center acquisition requires $3.5 million of cash at closing plus up to $1.0 million of earn-out consideration, but FOXO states it does not currently have sufficient capital. The agreement may be terminated if closing has not occurred within 9 months of signing.
Founder license may reduce IP value and control
The STLA gives LongevityFP an exclusive, irrevocable 10-year option to acquire majority ownership of FOXO Labs, which could cause FOXO to lose control of the subsidiary. The agreement also limits economics through a 3% royalty on net revenues, capped at $1.3 million, and creates potential conflicts because the counterparty is controlled by the founder.
Repeated reverse splits signal listing risk
FOXO effected a 1-for-3,000 reverse stock split on June 30, 2026, its 3rd reverse split since April 2025. The filing warns that the stock price may continue to decline, liquidity may remain limited, and additional reverse splits may be required.
Settlement-payment defaults
The company is currently in default on the Illumina settlement, with $723,065 payable in 5 quarterly installments of $144,613, and is also in default under a $90,000 settlement payment schedule with func.media.
Extreme voting concentration
Rennova Health holds approximately 99.12% of FOXO’s voting rights as of August 13, 2026. This concentration allows control over stockholder matters and may create conflicts with other stockholders.
