Net interest income and margin expanded
Quarterly net interest income increased 8.9% year over year to $15.2 million from $13.9 million. Net interest margin expanded to 3.25% from 2.97%, primarily due to loan repricing, maturities and strength in new loan originations.
First-half earnings improved materially
Six-month net income rose 66.3% to $4.3 million from $2.606 million, while diluted earnings per share totaled $1.00 versus the prior-year six-month result.
Loan balances continued to grow
Loans receivable, net of deferred fees and costs, increased to $1.504 billion from $1.450 billion at December 31, 2025. Commercial real estate loans grew to $597.4 million from $555.6 million.
Supervisory MOU was terminated
The FDIC and Indiana DFI terminated the Bank's memorandum of understanding effective June 24, 2026, removing the previously disclosed supervisory agreement.
Deposits remained broadly stable
Total deposits increased 0.3% to $1.733 billion from $1.727 billion at year-end. Management also reported high deposit retention after closing two branches during the quarter.
Merger agreement announced
The Company entered into a merger agreement with First Financial Bancorp on July 21, 2026. The transaction provides for 1.35 First Financial shares per Finward share and was valued at approximately $208 million based on First Financial's July 20 closing price of $35.48.

Asset quality deteriorated
Non-performing loans increased to $16.549 million from $11.162 million at December 31, 2025, and rose to 1.10% of total loans from 0.77%. ACL coverage declined to 106.9% from 156.8%.
CRE concentration remains elevated
Commercial real estate represented 39.7% of gross loans, or $597.4 million, versus 38.3% and $555.6 million at year-end. Management specifically cited elevated interest rates and reduced occupancy from hybrid work arrangements as factors requiring close monitoring.
Liquidity was consumed by loan growth
Cash and cash equivalents decreased $25.0 million during the first six months of 2026. Investing activities used $48.4 million, primarily for loan purchases and net loan funding.
Borrowing reliance increased
Total borrowings increased 12.5% to $95.3 million from $84.7 million at year-end, while additional liquidity capacity declined to $604.3 million from $673.942 million.
Fee pressure and compensation costs
Non-interest income declined 10.6% to $2.398 million from $2.683 million, including a $180 thousand loss associated with closing a leased branch. Compensation and benefits increased 9.8% to $8.033 million.
Merger execution remains conditional
The merger remains subject to regulatory approvals, shareholder approval and other customary closing conditions. Consideration is fixed at 1.35 First Financial shares per Finward share, and the indicated transaction value was approximately $208 million.
