Our reading of the filing · Free to read, no account needed

Fortress reported second-quarter revenue of $18.7 million, up 14% year over year, but diluted EPS declined to a loss of $0.08 from $0.45 in the prior-year quarter. Operating losses and R&D spending improved materially, and cash reached $196.6 million, with management indicating liquidity for at least the next 12 months. The outlook remains mixed because the company continues to incur losses, has $39.6 million of debt and $16.0 million of undeclared preferred dividends, while generic competition and Emrosi litigation add commercial risk.

What stood out

The parts that mattered.

Pulled out of the filing itself, with the figures the company reported.

Revenue grew 14% year over year
Second-quarter revenue was $18.7 million, up 14% year over year from $16.4 million. Revenue also increased from $16.0 million in the prior quarter.
Operating loss narrowed materially
Six-month operating loss improved to approximately $17.7 million from $58.8 million in the comparable 2025 period, a $41.1 million reduction.
R&D spending fell sharply
Six-month R&D expense declined to approximately $1.3 million from $12.1 million year over year, a reduction of $10.8 million.
Cash balance strengthened
Cash and cash equivalents increased to $196.6 million at quarter-end, providing substantial liquidity relative to the company’s stated minimum liquidity covenant of $2.0 million.
Liquidity outlook remains adequate
Management stated that current cash and cash equivalents should fund operations for at least 12 months from the August 13, 2026 filing date.
Controls remained effective
Disclosure controls and procedures were concluded effective as of June 30, 2026, and no material change in internal control over financial reporting occurred during the quarter.
What to watch

And the other side of it.

The offsets in the same document — the things a summary that only listed the good news would have left out.

Quarterly earnings returned to a loss
Diluted EPS was a loss of $0.08 versus diluted EPS of $0.45 in the prior-year quarter, reversing the prior-year quarterly profit and indicating continued earnings volatility.
Debt and covenant exposure
Debt outstanding, net of discount, was $39.6 million at June 30, 2026. The Oaktree agreement requires minimum liquidity of $2.0 million, and a covenant breach could trigger an event of default.
Persistent losses and accumulated deficit
Accumulated deficit was approximately $624.1 million at June 30, 2026, while the company reported operating losses of $17.7 million for the six months ended June 30, 2026. Management expects continued expenditures and operating costs and has not established a path to sustained profitability.
Preferred dividend arrears restrict financing
Series A Preferred Stock dividends remain paused at $0.1953125 per share monthly, deferring approximately $0.7 million in cash payments each month; undeclared cumulative dividends reached approximately $16.0 million at June 30, 2026. The pause also prevents use of new Form S-3 registration statements until specified conditions are met.
Generic competition threatens revenue
Five marketed products—Accutane, Targadox, Exelderm, Eurax and Luxamend—do not have patent protection or are not eligible for patent protection. Generic competition could reduce sales and operating income.
Emrosi faces generic litigation
Journey’s Emrosi patent litigation against Lupin triggered a stay of FDA approval of Lupin’s ANDA for up to 30 months. The challenged Journey patents expire in January 2039, but an adverse outcome could affect the product’s commercial prospects.
