Danaher delivered Q2 revenue of $6.265 billion, up 5.5% year over year and 5.3% sequentially, supported by broad Life Sciences and Biotechnology growth and the Masimo acquisition. GAAP EPS increased to $1.23 from $0.77 a year ago, though the comparison was substantially aided by the prior-year $432 million impairment, while gross margin fell to 57.6% and operating margin was down sharply sequentially to 18.0%. Cash generation remained strong, with $2.856 billion of first-half operating cash flow, but the $9.8 billion Masimo acquisition raised debt and created near-term Diagnostics margin dilution.

Revenue growth accelerated to 5.5%
Q2 revenue rose 5.5% year over year to $6.265 billion and 5.3% sequentially from $5.950 billion in Q1 2026. Core sales grew 3.0%, or 4.5% excluding respiratory testing; acquisitions and FX added 1.5% and 1.0%, respectively, to reported growth.
Life Sciences and Biotechnology grew
Life Sciences was the strongest reported-growth segment, with sales up 5.5% to $1.879 billion and core sales up 5.5%. Biotechnology sales rose 4.0% to $1.920 billion, with consumables demand leading growth.
Diagnostics underlying demand improved
Diagnostics sales increased 7.0% to $2.466 billion, including a 4.0% acquisition contribution from Masimo. Underlying Diagnostics core sales excluding respiratory testing rose 5.0%, despite a 1.5% price headwind.
Year-over-year earnings recovered
GAAP operating margin improved 520 basis points year over year to 18.0%, while diluted EPS increased to $1.23 from $0.77. The comparison benefited from a $432 million Life Sciences trade-name impairment recorded in Q2 2025.
Operating cash flow increased 8%
First-half operating cash flow increased 8% to $2.856 billion. After $506 million of capital expenditures, six-month free cash flow was approximately $2.350 billion, equal to 17.3% of $13.6 billion first-half sales.
Masimo expands Diagnostics portfolio
Danaher completed the $9.8 billion cash acquisition of Masimo on June 10, 2026; Masimo generated approximately $1.5 billion of 2025 revenue. The deal expands Diagnostics into patient-monitoring technologies and acute-care settings.

Gross margin compressed on acquisition mix
Gross margin declined 170 basis points year over year to 57.6% and 270 basis points sequentially from 60.3%. A $46 million Masimo inventory fair-value adjustment contributed to higher cost of sales.
Diagnostics margin dilution remains material
Diagnostics operating margin fell 710 basis points year over year to 16.9%. Masimo-related inventory adjustments, transaction costs, and pre-acquisition share-based/change-in-control payments accounted for 440 basis points of the decline.
New conflict and financing-risk disclosure
The filing adds 1 new risk factor covering military conflicts. While no material operational interruption occurred in the first half of 2026, management cited delivery delays and higher logistics costs in the Middle East; it also recorded $107 million of Q2 interest expense, up $36 million year over year following higher borrowings.
Respiratory testing remains volatile
Reported Diagnostics core sales grew 2.0%, but molecular-diagnostics respiratory-test demand declined as the first-half 2026 respiratory season was less severe. Management says the severity of the upcoming season and customer purchases could adversely affect demand through the remainder of 2026.
Acquisition financing increased borrowing
Masimo financing increased leverage: the company issued $6.555 billion of long-term debt and generated $3.673 billion of net short-term borrowings in the first half, while repaying $1.434 billion of long-term debt. Cash and equivalents stood at approximately $4.3 billion at June 26, 2026.
China pricing pressure constrains growth
High-growth markets represented approximately 31% of Q2 sales, but China pricing pressure persists. Diagnostics prices declined 1.5%, primarily from China's volume-based procurement program and sales promotions.
