Ben Liquidity became profitable, but Ben Custody revenue declined 40.2% to $2.500 million and operating cash flow remained negative at $(4.105) million. The financial position remains highly distressed, with $5.582 million of unrestricted cash, approximately $127 million of related-party obligations, a $69.7 million arbitration exposure and management's conclusion that substantial doubt exists about the company's ability to continue as a going concern.

- The Customer ExAlt Trusts' investments at fair value increased to $212.468 million from $195.536 million at March 31, 2026, including alternative assets of $179.468 million versus $162.824 million.
- Cash burn moderated; no capex
- Operating cash use improved to $(4.105) million from $(10.836) million, while investing cash flow was $6.911 million. Capital expenditures were zero in the quarter, compared with $0.096 million in the prior-year quarter.
- New collateral-management offering
- Management reported its first collateral-management engagement with a Texas state-chartered bank during the quarter and said the engagement is expected to generate recurring annual fee revenue.

- Defaulted related-party debt
- Approximately $96.7 million of related-party borrowings are due within 12 months, including approximately $94.3 million of HCLP principal and $32.2 million of unpaid interest. The HCLP loans are subject to purported events of default and the company is evaluating the validity of the debt and liens.
- Large arbitration obligation
- The Arbitration Award was approximately $69.7 million including post-judgment interest as of June 30, 2026, and interest accrues at 10.5% per quarter. The company deposited only a $100 cash bond after being ordered to post a bond of at least $25 million.
- High nonperforming-loan exposure
- Loan-portfolio credit risk remains elevated: total loans were $596.983 million, allowance for credit losses was $410.987 million, and nonperforming loans were $313.441 million, or 52.50% of total loans.
- Delayed asset distributions constrain cash
- The company stated that Customer ExAlt Trusts received fewer distributions than anticipated and expects these conditions to continue through the remainder of calendar 2026. Ben Liquidity loan payments received were $4.020 million versus $24.609 million in the prior-year quarter.
- Financing and dilution risk
- Additional financing may materially dilute shareholders: the A&R SEPA provides up to $100.0 million of equity capacity, and the two Yorkville promissory notes carry total principal of $4.0 million and could result in as many as 4,719,101 shares upon conversion.
