Accuray retains a differentiated CyberKnife and helical radiation-therapy strategy, with product positioning centered on adaptive radiotherapy, motion management, software and recurring services. However, fiscal 2026 revenue fell 12% to $401.947 million, gross margin declined to 27.7%, net loss widened to $49.194 million and operating cash flow turned negative at $6.981 million, driven especially by a 45% decline in China revenue and lower product shipments. The proposed $55.0 million preferred financing and covenant holiday may provide liquidity support, but closing conditions, substantial potential dilution, high debt costs and an unremediated material weakness create significant downside risk.

- Accuray is positioning CyberKnife and its helical portfolio around precision, motion management, adaptive radiotherapy and workflow efficiency. Its intellectual-property portfolio included 623 U.S. and foreign patents and 52 patent applications as of June 30, 2026.
- Recurring services partly offset product decline
- Services revenue increased 4% to $229.235 million and represented 57% of total revenue, supported by a larger installed base, higher contract renewal rates and higher out-of-contract billings. This partially offset the 27% decline in product revenue to $172.712 million.
- Adaptive therapy and AI roadmap
- The company’s roadmap includes Accuray Stellar for adaptive radiotherapy, Radixact as a flexible tailored solution and Accuray Helix as an entry point into the helical portfolio. It also describes AI-enabled predictive-maintenance and diagnostic tools and a 10-year collaboration with UW SMPH announced in fiscal 2026.
- Cost base was materially reduced
- Operating expenses excluding restructuring declined in several categories: research and development fell 21% to $37.753 million, selling and marketing fell 11% to $38.573 million, and general and administrative expense fell 5% to $45.398 million. The FY26 Restructuring Plan eliminated approximately 3% of employees in the September 2025 quarter and approximately 15% in the December 2025 quarter.
- Financing actions improve near-term liquidity
- The company entered into a proposed $55.0 million Series A convertible preferred financing, consisting of $15.0 million of cash and conversion of $40.0 million of existing debt. Amendment No. 3 also provides a covenant holiday through December 31, 2027, subject to closing conditions.

- The July 29, 2026 financing remains subject to stockholder approval and a 1-for-15 to 1-for-40 reverse stock split. If terminated for failure to obtain approval, the $15.0 million cash investment becomes secured debt and the company owes a fully earned, non-refundable $15.0 million fee; the contemplated $40.0 million debt exchange would also not occur.
- Severe potential shareholder dilution
- The proposed financing could materially dilute existing holders: the preferred stock currently reserves 110.0 million common shares for conversion and the company issued warrants for approximately 15.3 million common shares at a $0.01 exercise price. As of July 31, 2026, the company had 119.4 million common shares outstanding.
- Material weakness and restatement risk
- One material weakness remained unremediated as of June 30, 2026, relating to review of footnote schedules supporting financial statement disclosures. The weaknesses resulted in misstatements of remaining performance obligations and a restatement of fiscal 2025 and several quarterly periods; Grant Thornton issued an adverse opinion on internal control over financial reporting.
- China and tariff exposure worsened
- China revenue fell 45% to $68.142 million and represented 17% of total revenue, while the joint venture contributed 16% of total revenue versus 26% in the prior year. The company states that tariffs and trade uncertainty have materially reduced China product revenue and expects further China revenue reductions if tariffs escalate or persist.
- Debt burden and covenant pressure
- The company was not in compliance with the minimum liquidity covenant as of June 30, 2026, although lenders waived the default on July 29, 2026. Debt totaled $181.970 million gross, including $10.320 million of accumulated paid-in-kind interest, while annual interest expense increased to $32.905 million from $12.954 million.
- Profitability and cash flow deteriorated
- Gross margin declined to 27.7% from 32.1%, and net loss widened to $49.194 million from $1.591 million. Operating cash flow turned negative at $6.981 million, compared with $2.860 million of cash provided in the prior year, while the company expects material, freight and logistics pressure through at least fiscal 2027.
