ALOY earnings analysis
What we found in ALOY's 10-Q: the parts that mattered, the offsets in the same document, and what the company said about what comes next.
Our reading of the filing · Free to read, no account needed
REalloys delivered sequential and year-over-year revenue growth in Q2 2026, with revenue of $804,000, gross margin of 59.1% and diluted EPS of $(0.59). However, operating losses expanded sharply to $36.8 million, driven mainly by $32.1 million of non-cash stock compensation, and operating cash use reached $8.2 million for the quarter. The $122.4 million cash balance following approximately $142.5 million of six-month equity proceeds provides near-term liquidity, but substantial SRC commitments, ongoing cash burn, unresolved material weaknesses and concentrated voting control weigh on the outlook.
The parts that mattered.
Pulled out of the filing itself, with the figures the company reported.
- Revenue grew sequentially and year over year
- Q2 revenue increased to $804,000 from $706,000 in Q1 2026, a 13.9% sequential increase, and rose 82.7% from $440,000 in Q2 2025. Growth primarily reflected Euclid facility sales and 56 days of consolidated Blackbox subscription revenue.
- Gross margin expanded to 59.1%
- Gross margin improved to 59.1% from 50.2% in Q2 2025, with gross profit of $475,000 versus $221,000. Management attributed revenue primarily to rare-earth metals and materials sales at the Euclid facility.
- Sequential EPS improvement was largely non-operating
- Diluted EPS improved to $(0.59) from $(1.98) in Q1 2026, but deteriorated from $(0.05) in Q2 2025. The Q2 net loss was $36.8 million, including $32.1 million of stock-based compensation.
- Equity raises materially improved liquidity
- Liquidity strengthened materially: cash increased to $122.4 million from $2.8 million at December 31, 2025, while working capital rose to $149.1 million from $31.4 million. The June private placement generated approximately $95.4 million of net proceeds.
- Rare-earth project milestones advanced
- Management targets Q1 2028 commissioning and H1 2028 initial operations for the Heavy Rare Earth Metallization Facility, with targeted capacity of approximately 50 tonnes of combined Dy and Tb oxide feedstock annually.
- SRC expansion supports planned supply
- The SRC upgrade is expected to increase annual capacity to approximately 525 tonnes of NdPr metal, 30 tonnes of Dy oxide and 15 tonnes of Tb oxide. The company has secured rights to approximately 80% of the expanded facility's total output.
And the other side of it.
The offsets in the same document — the things a summary that only listed the good news would have left out.
- Material weaknesses remain unresolved
- The company disclosed three material weaknesses in internal control over financial reporting: insufficient accounting personnel, inadequate segregation of duties and insufficiently formalized period-end controls. Disclosure controls were not effective as of June 30, 2026, and remediation is expected to be substantially completed by the end of 2026.
- Voting control concentrated with CEO
- CEO Leonard Sternheim became the beneficial owner of all 1,634,999 outstanding Series A preferred shares, with each share carrying 100 votes. The filing states that he controls a substantial majority of aggregate voting power, creating a new controlled-company and related-party governance risk.
- Large discretionary SRC commitments
- The SRC arrangements have anticipated total commitments of $71.3 million, of which $57.7 million remained at June 30, 2026; $34.3 million was anticipated for 2026. The time-and-materials structure leaves scope, timing and total costs subject to work programs and approval.
- Cash burn remains substantial
- Operating cash use increased to $17.7 million in the first six months from $0.7 million in the prior-year period, while investing cash use rose to $8.1 million from $10,000. Management expects cash to continue being used in operating activities for the foreseeable future.
- Development-stage losses continue
- The company reported a six-month net loss of $143.5 million on revenue of $1.5 million and an accumulated deficit of $224.7 million. Management expects to continue incurring net losses for the foreseeable future.
- Customer contracts and scale-up remain uncertain
- Revenue depends primarily on short-term Euclid contracts, including the DLA contract awarded March 2, 2026. Management states that disruption to or failure to renew these contracts could adversely affect revenue, while planned NdFeB capacity expansion has been paused.

No quantitative revenue or EPS guidance was provided. Management stated that commercial intake of NdPr metal and Dy/Tb oxides is expected to commence in Q3 2027; initial separated oxide production is expected in H2 2027, heavy rare-earth metal output in H1 2028, and Phase 2 initial operating capability is targeted no later than 2030.
