Adtran delivered 6.1% year-over-year Q2 revenue growth to $281.1 million, driven by Optical Networking and stronger U.S. demand, while its GAAP net loss narrowed to $10.9 million. However, results deteriorated sequentially: revenue declined 1.7%, gross margin contracted 250 basis points to 37.0%, operating margin fell 580 basis points to negative 3.6%, and GAAP EPS was negative $0.13. Liquidity remains supported by $79.2 million of cash, positive $38.6 million six-month operating cash flow and a new $350.0 million credit facility, but tariff exposure, DPLTA obligations and unresolved internal-control material weaknesses remain significant risks.

Revenue grew 6.1%, led by optical demand
Q2 revenue rose 6.1% year over year to $281.1 million from $265.1 million, led by $19.6 million higher Optical Networking Solutions revenue. U.S. revenue increased 11.7% to $134.4 million.
Both operating segments delivered growth
Both reportable segments expanded: Network Solutions revenue increased $13.4 million, or 6.1%, to $232.9 million, while Services & Support increased $2.6 million, or 5.9%, to $48.2 million.
Year-over-year losses narrowed materially
GAAP net loss attributable to ADTRAN Holdings narrowed to $10.9 million from $20.5 million a year earlier. Operating margin improved 1.4 percentage points year over year to negative 3.6% from negative 5.0%.
Operating cash flow and inventory turns improved
Six-month operating cash flow was positive $38.6 million. Inventory turnover improved to 3.4 turns at June 30, 2026 from 2.8 turns at December 31, 2025, reflecting stronger sales activity and buffer-stock utilization.
Core-market spending and vendor shifts are tailwinds
Management attributes growth to higher service-provider spending, broadband expansion and vendor consolidation away from high-risk vendors; Optical Networking benefited from European vendor displacement and enterprise, government and content-provider sales.

Sequential margin reversal and EPS loss
Sequential performance weakened: revenue declined from $286 million in Q1 2026 to $281.1 million in Q2, gross margin fell from 39.5% to 37.0%, operating margin moved from positive 2.2% to negative 3.6%, and GAAP diluted EPS moved from negative $0.01 to negative $0.13.
Cash declined and free-cash-flow conversion was low
Cash on hand declined to $79.2 million at June 30, 2026 from $95.7 million at December 31, 2025; six-month operating cash flow fell $36.7 million year over year to $38.6 million. Capex was $33.2 million, leaving calculated six-month free cash flow of only $5.4 million.
Leverage and covenant restrictions remain material
Updated credit-agreement risk: the new five-year JPMorgan facility has $48.0 million outstanding as of filing, with $302.0 million remaining available, while the company also has $201.3 million of 3.75% convertible notes due in 2030. Covenant noncompliance could accelerate debt obligations.
Tariffs create cost and demand uncertainty
Updated tariff risk: USTR imposed additional tariffs of 10.0% or 12.5% on goods from about 60 trading partners on July 23, 2026. Management says it has experienced increased costs for certain critical raw minerals and derivative products, while no IEEPA-tariff refund receivable was recognized.
DPLTA minority-holder obligation is sizable
The DPLTA creates potentially substantial liquidity obligations: if all remaining minority holders elect exit compensation, aggregate payments including accrued interest would be about €292.6 million, or $334.2 million. Annual recurring compensation would be about $8.7 million per year assuming no further elections.
Material weaknesses remain unremediated
Disclosure controls were ineffective at June 30, 2026 because material weaknesses remained in controls over risks of misstatement and financial-statement presentation/disclosure. The weaknesses previously resulted in restatements for 2022, 2023 and 2024 financial statements.
