Revenue grew 16% year over year
Q2 revenue rose 16% year over year to $50,193,999, essentially flat sequentially versus $50 million in Q1 2026. Online sports betting was the fastest disclosed revenue stream, increasing 33% to $13,125,159.
Profitability turned positive year over year
Gross profit increased 10% to $26,854,920 and operating income improved to $2,439,935 from a $2,304,850 operating loss a year earlier. Gross margin was 53.5% and operating margin 4.9%, versus 56.4% and negative 5.3%, respectively, in Q2 2025.
Net income and EBITDA improved
Net income attributable to MRDN was $2,165,050, compared with a $3,584,345 loss in Q2 2025. Adjusted EBITDA increased 43% to $5,921,214 from $4,142,206.
Operating cash flow strengthened
Operating cash flow for the first six months rose to $12,954,795 from $10,117,167. Investment in intangible assets and PP&E totaled $3,195,835, equal to roughly 25% of operating cash flow.
Product and retail investments supported growth
Management attributed growth to the ATLAS platform, 2,500+ online casino games and 10+ new content providers. Retail expansion included more than 100 added slot machines, 10+ new locations and renovations across 50 betshops during the trailing 12 months.

New cybersecurity incident disclosure
The company disclosed a May 26, 2026 cybersecurity incident: it believes some customer information was likely exfiltrated through former-employee credentials, but cannot quantify the information taken. The ongoing investigation could lead to regulatory actions, litigation, remediation costs and reputational damage.
Working-capital deficit and acquisition obligations
Liquidity remains constrained: cash declined to $17,318,751 from $18,078,300 at December 31, while working-capital deficit widened to $24,909,577 from $24,128,745. Current liabilities include $15,730,672 of consideration payable to Meridian sellers and $9,978,715 of current long-term loans.
COGS grew faster than revenue
Gross margin compressed sequentially to 53.5% in Q2 from 56.2% in Q1 2026 as COGS rose 24% year over year to $23,339,079, faster than 16% revenue growth. Management cited variable gaming taxes and software fees that rose with betting and casino income.
Expense improvement partly reflects reversals
Q2 G&A fell 8% to $24,414,985, but included negative stock-based compensation of $97,292 versus $1,327,711 a year earlier, including reversals of previously accrued executive stock compensation. Salaries still increased 5% to $7,188,363 and rents/utilities rose 7% to $1,885,225.
